    These Terms of Service govern your use of the StaffPilot website (staffpilot.com.au), the StaffPilot platform, and any related services we provide (collectively, the "Services"). By accessing or using the Services you agree to be bound by these Terms.

    1. Who we are and what we do

    StaffPilot is an Australian-owned business that connects Australian companies with Filipino virtual assistants. We operate as an intermediary between clients (Australian businesses) and contractors (Filipino virtual assistants engaged through us).

    We are not an employer of contractors. Contractors engage with us under independent contractor arrangements. Clients are not the employer of contractors either, unless explicitly agreed in writing.

    2. Eligibility

    To use our Services you must be at least 18 years old and able to enter into a binding contract under the laws of Australia or the relevant jurisdiction.

    3. Services we provide

    3.1 For clients

    We match you with vetted Filipino virtual assistants for long-term placements. We handle contract preparation, payroll administration, onboarding support, and ongoing operational support.

    Our service does not include providing employment outcomes, guaranteed productivity, or warranties beyond those expressly set out in our placement agreements.

    3.2 For candidates and contractors

    We provide access to client roles, vetting and matching support, contract management, payment processing, and time tracking infrastructure.

    We do not guarantee placement, ongoing engagement length, or specific income levels.

    4. Accounts and access

    Some Services require an account. You agree to:

    • Provide accurate, current information.
    • Keep your login credentials secure.
    • Notify us immediately of any unauthorised account access.
    • Be responsible for all activity under your account.

    We may suspend or terminate access for breach of these Terms.

    5. Fees and payment

    5.1 Clients

    Service fees are agreed in writing before placement begins. We invoice in AUD on the 15th and end of month. Payment terms are 7 days from invoice date unless otherwise agreed in writing.

    Late payments may attract a late fee of 1.5 percent per month on outstanding balances, calculated daily.

    5.2 Contractors

    Contractor pay is set by your Independent Contractor Services Agreement (ICSA). We process payments via Wise in PHP at the agreed rate.

    6. Acceptable use

    You agree NOT to:

    • Use the Services for any unlawful purpose.
    • Misrepresent your identity, qualifications, or business.
    • Upload viruses, malicious code, or attempt to disrupt our infrastructure.
    • Reverse-engineer, scrape, or attempt to bypass security controls.
    • Use the Services to harass, threaten, or harm others.
    • Solicit our contractors directly outside the StaffPilot platform during their engagement and for 12 months afterward.

    The last point matters. Bypassing StaffPilot to engage a contractor we introduced you to directly (whether you continue paying them via another method, or terminate then re-engage them) is a breach of these Terms and may result in liquidated damages equal to 12 months of the contractor's monthly fee at the time of breach.

    7. Intellectual property

    The StaffPilot platform, website, branding, and all original content are owned by StaffPilot and protected by Australian copyright and intellectual property laws.

    You may not copy, reproduce, modify, or create derivative works of our IP without written permission.

    Content produced by contractors for clients during a placement (deliverables) is owned by the client as set out in the applicable Independent Contractor Services Agreement.

    8. Confidentiality

    Information shared between StaffPilot, clients, and contractors during an engagement is treated as confidential. Contractors sign confidentiality and IP assignment agreements before commencing any client work.

    Confidentiality obligations survive termination of any agreement.

    9. Disclaimers

    We provide the Services "as is". To the extent permitted by law, we exclude all implied warranties, conditions, and guarantees other than those required by the Australian Consumer Law.

    Where the Australian Consumer Law applies and a non-excludable consumer guarantee is breached, our liability is limited (at our option) to supplying the Services again or paying the cost of having the Services supplied again.

    We do not warrant that:

    • Contractor placements will achieve specific business outcomes.
    • The Services will be uninterrupted or error-free.
    • AI scoring or recommendations will be accurate in every case. AI outputs are decision-support inputs, not decisions.

    10. Limitation of liability

    To the maximum extent permitted by law, our total aggregate liability to you for any claim arising from or in connection with the Services is limited to the fees you paid us in the 12 months preceding the claim.

    We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of profits, loss of business opportunities, or loss of data.

    Nothing in these Terms excludes liability that cannot be excluded under Australian law.

    11. Indemnity

    You agree to indemnify StaffPilot against any claim, loss, damage, or expense arising from:

    • Your breach of these Terms.
    • Your misuse of the Services.
    • Your violation of any applicable law in connection with your use of the Services.

    12. Termination

    12.1 By you

    You may stop using the Services at any time. If you have an active placement agreement, termination of that agreement is governed by the terms of that agreement.

    12.2 By us

    We may suspend or terminate your access to the Services if you breach these Terms or if we have reasonable grounds to believe doing so is necessary to protect StaffPilot, our other users, or the public.

    We will provide reasonable notice unless immediate action is necessary.

    12.3 Survival

    Sections 6 (acceptable use, non-solicitation), 7 (IP), 8 (confidentiality), 9 (disclaimers), 10 (limitation of liability), and 11 (indemnity) survive termination of these Terms.

    13. Privacy

    Our handling of personal information is described in our Privacy Policy at staffpilot.com.au/privacy.

    14. Changes to these Terms

    We may update these Terms from time to time. The current version is always available at staffpilot.com.au/terms. Material changes will be communicated via email or a prominent notice on the website at least 14 days before they take effect.

    Your continued use of the Services after a change indicates your acceptance of the updated Terms.

    15. Governing law and disputes

    These Terms are governed by the laws of South Australia, Australia. The parties submit to the non-exclusive jurisdiction of the courts of South Australia.

    Before commencing any legal proceeding, the parties will attempt to resolve the dispute through good-faith negotiation. If that fails after 30 days, either party may proceed to formal dispute resolution.

    16. General

    • If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
    • These Terms (together with any placement agreement and our Privacy Policy) constitute the entire agreement between you and StaffPilot regarding the Services.
    • No waiver of any breach is a waiver of any subsequent breach.
